Terms of Service

Please read these Terms carefully. By creating a CallBreezy account, subscribing to a plan, or using any CallBreezy service, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and CallBreezy LLC ("CallBreezy," "we," "us," or "our"), governing your access to and use of the CallBreezy VoIP communication platform and related services (collectively, the "Services").

By registering for an account, clicking "I Agree," initiating a subscription, or otherwise accessing the Services, you confirm that:

  • You are at least 18 years of age;
  • You have the legal authority to enter into these Terms on behalf of yourself or the organization you represent;
  • You have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2 Services Description

CallBreezy provides cloud-hosted Voice over IP ("VoIP") communication services, including but not limited to:

  • Hosted PBX and multi-tenant VoIP platform;
  • Browser-based and SIP softphone access;
  • Direct Inward Dialing ("DID") telephone numbers;
  • Ring groups, IVR (auto-attendant), and call routing;
  • Voicemail with transcription;
  • Outbound PSTN calling via our carrier partners;
  • Call analytics and reporting dashboards.

The Services are provided on a subscription basis and are subject to these Terms, our Acceptable Use Policy (Section 8), and any plan-specific documentation provided at the time of purchase.

3 Accounts & Eligibility

Registration

You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for all activity that occurs under your account, including the actions of any users you grant access to.

Account Security

You are solely responsible for maintaining the confidentiality of your credentials. You agree to notify CallBreezy immediately at [email protected] of any unauthorized use of your account or any other security breach. CallBreezy will not be liable for any loss resulting from unauthorized use of your account.

Business Use

The Services are intended for legitimate business communication purposes. Residential-only use is not prohibited but the Services are designed and priced for business environments.

4 Billing & Subscriptions

Subscription Plans

CallBreezy offers the following monthly subscription tiers:

Recurring Billing

All subscriptions are billed on a monthly recurring basis. Recurring charges are processed on the 1st of each calendar month. By subscribing, you authorize CallBreezy to charge your payment method on file each month until you cancel.

Payment Methods

We accept all major credit and debit cards processed through Zoho Payments. You represent that you are authorized to use the payment method you provide. CallBreezy reserves the right to suspend or terminate your account if a payment is declined or reversed.

Failed Payments

If a payment fails, CallBreezy will attempt to re-process it. If payment remains outstanding for more than 7 days, your account may be suspended. Suspended accounts retain their configuration data for up to 30 days before permanent deletion.

Taxes

Stated prices do not include applicable federal, state, or local taxes, regulatory fees, or surcharges. These will be added to your invoice as required by law. Telecom-specific surcharges (e.g., USF, E911) may apply.

5 Proration Policy

When you subscribe to CallBreezy on any day other than the 1st of the month, your first charge is prorated to align all future billing to the 1st of each month.

How it works: Your first charge covers the remainder of the current calendar month, calculated as:

Prorated amount = (Days remaining in month ÷ Days in month) × Monthly plan price

Example: Subscribing to the Business plan ($49.99) on April 19 — 12 days remain in April (including today) out of 30 total days:
12 ÷ 30 × $49.99 = $20.00 due today. Your first full $49.99 charge processes May 1.

After the initial prorated period, your subscription renews at the full plan price on the 1st of each subsequent month. You will always see a breakdown of any prorated charges in your checkout summary before completing payment.

6 Cancellation Policy

How to Cancel

You may cancel your subscription at any time by contacting CallBreezy support at [email protected] or through your account dashboard. Cancellations must be submitted at least 3 business days before your next billing date to avoid being charged for the next month.

Effect of Cancellation

Upon cancellation:

  • Your service remains active through the end of the current paid billing period;
  • No refunds are issued for the current billing period;
  • Your account data, call records, and voicemails are retained for 30 days after cancellation, then permanently deleted;
  • Any phone numbers assigned to your account will be released unless you request a port-out (see Section 7).

No Refunds

All subscription fees are non-refundable. CallBreezy does not provide partial-month refunds upon cancellation. The prorated first-month charge described in Section 5 is also non-refundable once the billing period has begun.

7 Number Porting & Fees

Inbound Porting (Port In)

You may request to port an existing telephone number from your current carrier to CallBreezy. Porting is subject to carrier availability and regulatory requirements. We do not charge a fee to port numbers in, though your losing carrier may impose its own charges.

Outbound Porting (Port Out)

If you wish to transfer a CallBreezy-assigned telephone number to another carrier upon cancellation or otherwise, a port-out fee applies per number.

Port-Out Fee: $25.00 per telephone number.

This fee covers the administrative and carrier costs associated with releasing a number from our platform. The fee is due at the time the port-out request is submitted and is non-refundable.

Port-Out Process

To initiate a port-out, email [email protected] with the subject line "Port-Out Request" and include: the telephone number(s) to be ported, your receiving carrier's name, and the account holder name. We will provide a Letter of Authorization ("LOA") and account information after the port-out fee is collected.

Number Availability

CallBreezy cannot guarantee number availability or porting timelines, as these are subject to third-party carrier processes. Port-out requests are typically processed within 5–7 business days.

8 Acceptable Use Policy

You agree not to use the Services for any purpose that is unlawful, harmful, or prohibited by these Terms. Without limitation, you may not:

  • Use the Services to transmit spam, unsolicited commercial messages, or robocalls in violation of the Telephone Consumer Protection Act (TCPA) or CAN-SPAM Act;
  • Engage in fraudulent activity, including toll fraud or SIP credential theft;
  • Use the Services to harass, threaten, or impersonate any person;
  • Attempt to gain unauthorized access to CallBreezy systems or other customers' accounts;
  • Resell or sublicense the Services without prior written authorization from CallBreezy;
  • Use the Services to transmit content that is defamatory, obscene, or infringes any third-party intellectual property rights;
  • Generate artificially high call volumes designed to exploit per-minute inclusions (traffic pumping).

CallBreezy reserves the right to immediately suspend or terminate your account for any violation of this Acceptable Use Policy without notice or refund.

9 Service Levels & Availability

CallBreezy targets 99.9% monthly uptime for its core VoIP platform, excluding scheduled maintenance windows (communicated at least 48 hours in advance) and events outside our reasonable control.

CallBreezy does not guarantee uninterrupted service and is not a substitute for traditional E911 services. You acknowledge that VoIP calls, including emergency 911 calls, may not function during power outages, internet disruptions, or platform maintenance.

We strongly recommend maintaining an alternative method for reaching emergency services. By using CallBreezy, you accept these E911 limitations.

10 Intellectual Property

All content, software, trademarks, logos, and materials comprising the CallBreezy platform are the exclusive property of CallBreezy LLC or its licensors. Nothing in these Terms grants you any right, title, or interest in CallBreezy's intellectual property other than the limited license to use the Services as described herein.

You retain ownership of all data, voicemail messages, and call recordings associated with your account. You grant CallBreezy a limited license to process and store such data solely for the purpose of providing the Services.

11 Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated herein by reference. By using the Services, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

12 Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CALLBREEZY DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

13 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALLBREEZY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CALLBREEZY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO CALLBREEZY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100.00).

14 Indemnification

You agree to defend, indemnify, and hold harmless CallBreezy and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) any content transmitted through your account.

15 Dispute Resolution & Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Informal Resolution

Before initiating any formal dispute, you agree to contact CallBreezy at [email protected] and attempt to resolve the dispute informally. Most concerns can be resolved quickly through our support team.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and judgment on the award rendered may be entered in any court of competent jurisdiction. You waive any right to a jury trial for such disputes.

Class Action Waiver

You agree to resolve disputes with CallBreezy on an individual basis only and waive any right to participate in a class action, collective action, or representative proceeding.

16 Changes to These Terms

CallBreezy reserves the right to update these Terms at any time. When we make material changes, we will notify you via email at the address associated with your account and/or post a notice on our website at least 14 days before the changes take effect.

Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must cancel your subscription before the effective date.
